Business Terms & Conditions

These Business Terms and Conditions (“Agreement”) apply to the Cytelbusiness service provided by CytelUK Telecom Ltd to business customers.


1. Service

1.1 Service Definition

In this Agreement, Service means Cytelbusiness. Cytelbusiness is CytelUK’s service trademark for Carrier Pre-Selection (CPS) to business customers, as defined by the UK telecommunications industry.

CytelUK Telecom Ltd is a company incorporated in England and Wales with a registered address at 12 Gateway Mews, London, N11 2UT.

With Cytelbusiness, the Customer’s calls are automatically routed to the CytelUK network. The Service provides voice-only telephony services to UK landline and mobile numbers and international destinations.

The Service is available under two packages:

• Cytelbusiness.plus – capped rates

• Cytelbusiness – per-minute rates

1.1.1 Definitions

• BT means British Telecommunications Plc.

• Carrier Pre-Selection (CPS) or Cytelbusiness means the CPS service provided by CytelUK to the Customer.

1.1.2 Application Process

Following verification of the application, CytelUK will request BT to carry out all actions required to implement Carrier Pre-Selection in cooperation with the CPS provider.

1.1.3 Eligibility

The Service is available only to Customers with an existing BT Business telephone line. The Customer acknowledges that certain BT services may no longer be available once CPS is activated. The Customer warrants that all information supplied is true and accurate.

1.1.4 Rejection of Applications

CytelUK reserves the right to reject any application that is incomplete, incorrect, or inconsistent with CPS provider records.

1.1.5 Additional Information

CytelUK may request further information from the Customer where required.

1.1.6 Duplicate Applications

Where more than one CPS application is submitted for the same number with the same signature and date, all applications will be rejected and BT will notify the Customer.

1.2 Cancellation and Cooling-Off

The Customer may cancel the Service within 14 days of placing the order at no charge. Cancellation during this period must be notified in writing to BT. After 14 days, CPS activation proceeds.

1.2.1 Late Cancellation

If cancellation is requested after the expiry of the cooling-off period, a cancellation fee may apply at the prevailing rate.

1.2.2 Customer Information

The Customer is responsible for notifying CytelUK of any changes to their personal or business information.

1.2.3 Availability

The Service is subject to availability and may be withdrawn at any time.

1.2.4 Resale Prohibition

The Customer must not resell or make Cytelbusiness available to any third party.

1.2.5 Subcontracting

CytelUK may subcontract or appoint agents to carry out any of its obligations under this Agreement.


2. Duration

2.1

This Agreement comes into force upon acceptance by CytelUK and continues until terminated in accordance with these Terms.


3. Payment

3.1 Charges and Billing

Prices are set out in the Cytelbusiness Tariff Sheet, as updated from time to time. All prices exclude VAT and are correct at the time of publication.

Calls may be charged per second, per call, or a combination thereof.

For Cytelbusiness.plus:

2p setup fee on capped UK landline calls

7p setup fee on capped UK & Cyprus mobile calls

3p setup fee on capped Cyprus landline calls

Per-minute rates apply after 60 minutes per call

Invoices are issued monthly. Payment terms are 14 days from the invoice date. Time for payment is of the essence.

3.2 Advertised Rates

Rates shown in advertisements, promotional materials, and tariff sheets are displayed in pence per minute or per call.

3.3 BT Billing

Customers remain responsible for all charges billed by BT under their BT service agreement.

3.4 CPS Call Charges

Calls made via CPS will not appear on BT invoices.

3.5 Disconnected Services

If the Customer’s BT service is disconnected prior to CPS activation, the CPS application may be rejected and cancellation fees may apply.

3.6 Late Payment Interest

CytelUK may charge interest on overdue sums at 4% above the average base rate per month until payment is received in full. Legal and collection costs may also be recovered.

3.7 No Set-Off

All sums due must be paid in full without set-off or counterclaim.

3.8 Usage Liability

The Customer is liable for all charges incurred, whether authorised or unauthorised.

3.9 Call Data Records

Charges are calculated solely by reference to data recorded by CytelUK.


4. Personal Data

4.1 Consent

By accepting these Terms, the Customer consents to the storage and processing of personal data for CPS purposes.

4.2 Use Limitation

Personal data will be used solely for CPS service provision.

4.3 Data Sharing

Personal data may be shared with partners involved in service delivery, subject to CytelUK instructions.


5. Use of Service

5.1 Conditions of Use

The Customer must use the Service in accordance with Cytelbusiness conditions and reasonable usage expectations.

5.2 Prohibited Use

The Service must not be used:

For unintended purposes

For hoax emergency calls

To transmit unlawful or offensive material

In violation of third-party rights

5.3 Indemnity

The Customer indemnifies Cytelbusiness against all claims arising from prohibited use.

5.4 Customer Information Updates

The Customer must keep Cytelbusiness informed of any changes to personal or business information.


6. Promotions

CytelUK may offer, amend, or withdraw promotions at its discretion, subject to notified terms.


7. Privacy Policy

7.1 Data Processing

Cytelbusiness may carry out credit checks, disclose debt information where lawful, and process data for fraud prevention and customer service.

7.2 Consent

By entering into this Agreement, the Customer agrees to the processing of personal data as described.

7.3 Call Monitoring

Calls may be monitored or recorded for training, quality, and security purposes.


8. Availability

CytelUK will use reasonable endeavours to maintain availability and rectify faults. Customers may be charged for faults attributable to their equipment or negligence.


9. Liability

Nothing limits liability for death or personal injury. Other liability is limited to £20,000 per incident or £50,000 per year, excluding indirect or consequential losses.


10. Termination

Either party may terminate in accordance with these Terms. CytelUK may suspend or terminate services for non-payment, misuse, inactivity, fraud, or regulatory reasons.


11. Assignment

This Agreement may not be assigned by the Customer without prior written consent. CytelUK may assign at any time.


12. Ownership Rights

All intellectual property rights relating to the Service remain the property of Cytelbusiness.


13. Force Majeure

Neither party is liable for failure due to events beyond reasonable control.


14. Notices

Notices must be given in writing to the last notified address. Fault notices are deemed given once a fault reference number is issued.


15. Disputes

Invoice disputes must be raised within 30 days. Undisputed amounts remain payable.


16. New Terms and Conditions

CytelUK may amend these Terms from time to time. Current versions are available on the CytelUK website.


17. Entire Agreement

This Agreement constitutes the entire agreement between the parties. Invalid provisions do not affect enforceability of the remainder.


18. No Waiver

Failure to enforce rights does not constitute a waiver.


19. Third Parties

No third party has rights under this Agreement under the Contracts (Rights of Third Parties) Act 1999.


20. Governing Law

This Agreement is governed by English law and subject to the exclusive jurisdiction of the English courts.
